Terms of Service

1. Acceptance of Terms

Welcome to Utsav. By accessing or using our platform at utsav.com and our mobile applications (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Utsav provides a marketplace connecting customers seeking vendors for Indian and South Asian celebrations with service providers ("Vendors"). We facilitate connections but are not a party to the agreements between customers and vendors.

2. Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must provide accurate, current, and complete information during registration and keep your profile updated.
• You may not create multiple accounts, share your account, or transfer your account to another person.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Customer Responsibilities

As a customer using Utsav, you agree to:

• Provide accurate event details when making booking inquiries
• Communicate respectfully with vendors through our messaging system
• Honor confirmed bookings and provide timely notice of cancellations
• Make payments as agreed upon with vendors through our payment system
• Leave honest, fair reviews based on your actual experience

5. Vendor Responsibilities

As a vendor on Utsav, you agree to:

• Provide accurate business information, portfolio images, and pricing
• Maintain all required licenses, permits, and insurance for your business
• Respond to booking inquiries in a timely manner (within 48 hours)
• Honor confirmed bookings and deliver services as described in your profile
• Comply with all applicable local, state, and federal laws and regulations
• Not solicit customers to transact outside of the Utsav platform to avoid service fees
• Maintain appropriate food safety certifications (for caterers) and health department compliance

6. Bookings and Payments

6.1 Booking Process

Customers submit booking inquiries through the platform. Vendors may respond with quotes. A booking is confirmed only when both parties agree to the terms and the customer makes the required deposit payment.

6.2 Payments

All payments are processed through Stripe. Utsav charges a service fee on completed bookings. Payment terms, including deposit amounts and payment schedules, are agreed upon between the customer and vendor.

6.3 Cancellations

Cancellation policies are set by individual vendors and displayed on their profiles. Customers should review cancellation terms before confirming a booking. Utsav may mediate disputes but is not responsible for refund decisions.

6.4 Disputes

In the event of a dispute between a customer and vendor, Utsav may assist in mediation but is not obligated to resolve disputes. We encourage parties to communicate directly and in good faith.

7. Content and Conduct

7.1 User Content

You retain ownership of content you upload to the Service (photos, descriptions, reviews). By uploading content, you grant Utsav a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

7.2 Prohibited Conduct

• Posting false, misleading, or fraudulent information
• Harassing, threatening, or discriminating against other users
• Uploading copyrighted content without permission
• Attempting to manipulate reviews, ratings, or search results
• Using the platform for any illegal purpose or in violation of any laws
• Scraping, crawling, or using automated tools to access the Service

8. Reviews

Reviews must be based on genuine experiences with a vendor booked through Utsav. We reserve the right to remove reviews that are fraudulent, abusive, contain personal attacks, or violate these Terms. Vendors may respond to reviews publicly through their dashboard.

9. Intellectual Property

The Utsav name, logo, and platform design are the property of Utsav. You may not use our branding without written permission. The Service and its original content, features, and functionality are owned by Utsav and protected by copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

Utsav is a marketplace platform that connects customers with vendors. We do not provide vendor services directly and are not responsible for the quality, safety, or legality of vendor services.

To the maximum extent permitted by law, Utsav shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages for loss of profits, data, or other intangible losses.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.

12. Indemnification

You agree to indemnify and hold harmless Utsav, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your violation of these Terms.

13. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
